Registering a Business: Sole Proprietor (ИП), LLC (ОсОО) & Patent
If you want to freelance, consult, or run a company in Kyrgyzstan legally — rather than take a job with a local employer (for that, see Working in Kyrgyzstan) — you formalise it in one of three ways. Which is open to you depends on your citizenship and residence status.

Note on residence: a sole proprietor (ИП) requires that you legally reside in the country. EAEU citizens register on their documents; a non-EAEU foreigner generally needs a residence basis first. An LLC (ОсОО), by contrast, can be founded by a non-resident foreigner.
👤 Sole proprietor (ИП) — the freelancer’s route
The ИП (individual entrepreneur) is a physical person doing business — the simplest, cheapest form, popular with freelancers and IT workers billing foreign clients.
Before you start, you need:
- A PIN (personal ID number) — obtained at a Public Service Centre (ЦОН). See Entry and Visas for the registration side.
- A cloud e-signature (ЭЦП) — issued free at a ЦОН/ЦОП in 5–10 minutes (face biometrics against your passport). Registration and tax reporting are done electronically with it.
- Your passport and proof of your legal residence/registration address — your ИП address is tied to it.
The steps:
- Get the cloud e-signature (ЭЦП) at a ЦОН/ЦОП (free).
- File the application (form STI-018) at a self-service terminal or with a consultant, choosing your activity codes (ОКЭД) — e.g.
62.01.0(software development) for developers. - Pay the state duty — a token amount (~100–200 som) at the centre.
- Receive the registration in 1–3 working days, plus access to the taxpayer cabinet at cabinet.salyk.kg.
⚠️ Choose your tax regime inside the same application (there’s a tick-box). If you leave it blank you default to the general regime — profit tax, VAT and full quarterly reporting. Verify in the cabinet that “single tax” (единый налог) is listed under your declared taxes.
After registering you open a business bank account (Bakai, Demir, KICB, MBank are common). Banks want your taxpayer card (form STI-025, which shows your Social Fund code); some conservative banks still ask for a stamped Social Fund certificate — if so, get one at a district Social Fund office with your STI-025 and passport.
🏢 LLC (ОсОО) — for companies and hiring
The ОсОО (limited liability company) is a legal entity. Unlike the ИП, a non-resident foreigner can be a founder, and 100% foreign ownership is allowed; there is no statutory minimum charter capital.
Roughly: prepare the charter and founder decision, have signatures notarised, and register with the Ministry of Justice (via a ЦОН). An LLC is what you need to hire employees at scale, and it’s the usual vehicle for High-Tech Park (ПВТ) residency for export-IT companies. It carries more accounting and reporting than an ИП, so most solo freelancers stay on an ИП.
🎫 Patent — the fixed-fee route (with limits)
A patent lets you pay a fixed monthly amount for a specific activity instead of filing under the single tax. Its availability to foreigners is narrow and worth confirming:
- For foreign labour migrants, a patent can be used only while the visa-free regime applies to your country, and only for work for private individuals — fields like construction, agriculture and personal services. Cost is around 800 som/month, plus you buy insurance and pay contributions (~6% of the capped average wage).
- It does not cover working for a company or an ИП (there the employer withholds your taxes), and it is not available if your country is not visa-free (e.g. Afghanistan) — those cases use the Single Permit or an ИП/ОсОО.
Because the rules differ by activity and status, confirm your specific case with the State Tax Service before relying on a patent.
💰 Tax regimes in brief
Most foreign freelancers and small businesses use the single tax (единый налог):
- IT / software development: 2% of revenue (non-cash) — the usual rate for exporting services to foreign clients.
- Other services (design, marketing, consulting): 4% non-cash.
- Plus fixed Social Fund contributions.
For creative and IT work there are two special regimes with big breaks — the Park of Creative Industries (ПКИ), whose single-tax rate is 0% from 01.08.2026 to 31.07.2031, and the High-Tech Park (ПВТ) for export IT. Which is worth it depends on turnover.
